Terms of Service

1. What prismaIQ Is

prismaIQ is an educational, evidence-informed health information platform. It connects lab results, wearable data, medications, and nutrition information you provide or authorize into a single view, and surfaces patterns, food and lifestyle information, and reference-cited content for your own review and for you to discuss with a licensed healthcare provider.

2. Evidence-Based Framing

Content on this platform is labeled according to the strength of supporting evidence (e.g., "established," "emerging," "preliminary," or "gap") wherever applicable. This labeling reflects our own internal review of publicly available research and does not constitute a guarantee of clinical efficacy, accuracy, or outcome for any individual user.

3. Eligibility and Accounts

You must be 18 years or older to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information, keep it updated, and notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

4. Pilot Program Participants

If you are using prismaIQ as part of a pilot, beta, or early-access program (including but not limited to any university-affiliated wellness program pilot), the following additional terms apply:

• Your access is provided for the purpose of using the platform and providing feedback on your experience.
• You agree not to reverse engineer, decompile, copy, replicate, or attempt to derive the underlying methodology, source code, curated datasets, evidence-tiering system, scoring algorithms, or business processes of the platform.
• You agree not to use any information gained through your participation to develop, fund, or assist in the development of a competing product or service.
• Feedback you voluntarily provide may be used by prismaIQ to improve the platform, without compensation to you, unless separately agreed in writing.
• These confidentiality obligations survive the end of your participation in the pilot program.

5. Intellectual Property and License

The Service, including all content, features, functionality, software, curated datasets, evidence-tiering systems, and scoring algorithms, is owned by prismaIQ / Stroom AI and protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational use in accordance with these Terms. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove any copyright, trademark, or proprietary notices
• Resell, sublicense, or redistribute the Service
• Use the Service for any commercial purpose beyond personal educational use without our written permission

6. Your Content and Data

You retain ownership of the health data, documents, and information you upload or connect to prismaIQ. By using the platform, you grant prismaIQ a limited license to process this data solely for the purpose of providing the service to you, as described in our Privacy Policy.

You may request deletion of your account and associated data at any time, subject to the retention terms described in our Privacy Policy.

7. Subscription and Billing

Some features may require a paid subscription. Payment processing is handled by Stripe; we do not store your full payment card numbers. By subscribing, you agree to pay applicable fees, automatic renewal unless canceled, and our then-current pricing (with notice of material price changes). Cancellation generally takes effect at the end of the current billing period; refunds for unused portions are not provided except as required by law. Manage billing in account settings or the Stripe customer portal when available.

8. Prohibited Uses

• Use the platform for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to any portion of the platform, other users' accounts, or connected systems
• Use automated systems (bots, scrapers) to access the platform without our express written permission
• Misrepresent your identity or impersonate any person or entity
• Upload content you do not have the right to upload, or that infringes any third party's rights
• Interfere with or disrupt the Service or its infrastructure

9. Third-Party Integrations

prismaIQ integrates with third-party services (including but not limited to wearable device providers, grocery delivery platforms, and laboratory services). Your use of those third-party services is governed by their own terms and privacy policies. prismaIQ is not responsible for the practices, content, or availability of third-party services.

Grocery cart and shopping features (including any Instacart integration) provide estimated pricing and quantities. Always review your cart before completing any purchase. prismaIQ is not responsible for pricing accuracy, product availability, or order fulfillment by third-party retailers.

10. No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT (INCLUDING BIOMARKER RANGES, DRUG INTERACTION INFORMATION, OR NUTRIENT GUIDANCE) IS COMPLETE OR CURRENT FOR YOUR SPECIFIC CIRCUMSTANCES.

Some jurisdictions do not allow the exclusion of implied warranties; in those cases, exclusions apply to the maximum extent permitted by law.

11. Limitation of Liability

Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the maximum extent permitted by law.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms, fraudulent or illegal activity, non-payment of fees, or extended inactivity. Upon termination, your right to use the Service ceases. We may delete your account and data in accordance with our Privacy Policy. You may terminate by deleting your account in settings or contacting us.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active users (including by email where we have an address on file), generally at least 30 days before they take effect when practicable. Continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Service and delete your account.

Material policy note (pilot): Research use of data is no longer described as an absolute prohibition. Optional, explicit, revocable opt-in for de-identified or aggregated research may be offered separately — see the Privacy Policy. That change will be called out in material-change notices to existing users.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Arbitration: Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial and to participate in class action lawsuits.

Class action waiver: You agree that any disputes will be resolved individually, and you will not participate in or be represented in any class action or consolidated proceeding.
